2. Access & use
We grant you a limited, revocable, non-transferable, non-sublicensable licence to use the Services in accordance with these Terms.
2.1 Permitted use

- Ensure everyone you allow to use the platform complies with these Terms.
2.2 Restrictions
- Do not copy, modify, distribute, or create derivative works of the platform.
- Do not reverse-engineer, decompile, or attempt to access the source code.
- Do not interfere with the platform’s functionality, security, or data processing, or attempt to access data you’re not authorized to access.
- Do not resell the Services or use them to build a competing product.
3. Your responsibilities
- Account security — keep your credentials safe and your account activity lawful.
- Customer data — ensure the content you submit doesn’t violate any law or third-party right.
- Integrations — manage your own connections to third-party services.
- Compliance — use the platform in line with all applicable laws.
4. Service levels & support
We aim to provide reliable, available Services and reasonable support. We may temporarily suspend access for maintenance, security, or legal/regulatory reasons. Some features rely on third-party providers whose terms apply separately. [Insert any uptime/support commitments if you offer them.]
5. Plans, fees & payment
Paid plans, seat limits, and fees are as agreed when you sign up or as quoted to you. A free trial may be offered, after which a paid plan is required to continue. You retain all rights to the content you submit (“Customer Data”) and grant us a limited licence to host, process, and display it solely to provide and improve the Services. Dealigent owns all rights to the platform — software, documentation, and branding. If you send us feedback or suggestions, we may use them without obligation or restriction.
10. Warranty disclaimer
The Services are provided “as is” and “as available,” without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, and non-infringement), to the fullest extent permitted by law. We do not warrant that the Services will be error-free or uninterrupted, will meet your specific needs, or that third-party integrations will always function. AI outputs are decision-support only, may be inaccurate, and are not professional, financial, legal, or investment advice — verify before relying on them.
11. Indemnification
You agree to indemnify and defend Dealigent against claims arising from your Customer Data, your use of the Services, or your breach of these Terms, to the extent permitted by law.
12. Limitation of liability
To the maximum extent permitted by law, Dealigent will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
13. Term & termination
Your access continues for your subscription term and renews automatically unless cancelled. We may suspend or terminate access for non-payment or breach, or to protect the Services. You may cancel at any time in your account settings (no refunds for unused time). On termination, your right to use the Services ends; you may request export or deletion of Customer Data as described in our Privacy Policy.
14. Modifications
We may modify these Terms at any time. Significant changes will be communicated, and continued use after an update constitutes acceptance.
15. Governing law & forum
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Any disputes will be resolved exclusively in the courts of Ontario, subject to any non-waivable rights.
16. Miscellaneous
- Notices — official notices must be sent to our corporate address.
- Electronic communications — by using the Services, you consent to receive electronic notices and agreements.
- Assignment — you may not transfer your rights under these Terms without our written consent.
